IMPORTANT - PLEASE READ CAREFULLY:
This is a legally binding contract (the “Agreement”) between you and
PricewaterhouseCoopers Limited ("PwC")governing your use of the PwC’s ePay service web site (the “Web Site”). The Web Site is a means by which you can obtain your salary information from PwC. This Agreement only governs your use of the Web Site – it does NOT govern any services. Any terms and conditions related to Payroll and/or Tax or other Services are the subject of various professional standards and regulations as well as a separate agreement between the appropriate member firm of the worldwide network of PricewaterhouseCoopers firms and entities (each of which is a separate and independent legal entity, and hereinafter referred to as “PwC Firm” or “Affiliate”) and your employer.
By ticking the acknowledgement box “Yes, I accept” and by clicking the “Agree” button at first login, you represent in your personal capacity that you accept all of the terms and conditions of this Agreement without modification or variation. If you do not agree to be bound by this Agreement in its entirety, please do not proceed any further and exit the Web Site.
The persons allowed to access the Web Site are employees of a company client for whom a member Firm of the worldwide network of PwC has agreed to provide payroll and/or PwC’s ePay services (referred to as “Client Employees”); and PwC has agreed to allow Client Employees to access this Web Site. You may only use the Web Site if you are a Client Employee. Your access to and use of online salary information provided through the Web Site is subject to the following terms and conditions:

1. Online Services
1.1 Online Services.
Unless expressly stated otherwise, the Web Site is provided for general information purposes only. The Web Site allows you to access your salary information. No services will actually be performed through the Web Site. The Web Site does not constitute the provision of other services, (e.g. Corporate Tax Services and Consulting Services), but only enables the provision of information by PwC. The Web Site should not be used as a substitute for consultation with professional tax, accounting, legal or other suitably qualified advisors. Before making any decision or taking any action, you should consult with PwC Firm or an applicable professional advisor who has been provided with all pertinent facts relevant to your particular situation. Given the changing nature of laws, rules and regulations and the inherent hazards of electronic communication there may be delays, omissions or inaccuracies in the information presented on this Web Site.
1.2 Eligibility.
You may use the Web Site under these terms and conditions provided that you are a Client Employee. If you do not qualify under the foregoing eligibility requirements, you cannot use the Web Site. You warrant that all information provided by you in connection with using the Web Site is true, accurate and up-to-date and you agree to notify us of any changes necessary to your user profile on the Web Site to ensure that such information is true, accurate, complete and up-to-date at all times. PwC reserves the right, acting in its sole discretion, to accept, reject or cancel your ability to enter and use this Web Site.
1.3 Security.
You will be required to enter your username and password every time you wish to access the Web Site. Your username and password are personal to you and non-transferable, and you shall maintain them in strict confidence and will not communicate them to anyone else or allow anyone else to use them. YOU ARE RESPONSIBLE FOR ALL USE OF THE WEB SITE MADE USING YOUR USERNAME AND PASSWORD, REGARDLESS OF THE IDENTITY OF THE PERSON MAKING SUCH USE, AND PWC AND ITS OFFICERS, DIRECTORS, PARTNERS, PRINCIPALS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS AND SUPPLIERS WILL NOT HAVE ANY RESPONSIBILITY OR LIABILITY IN CONNECTION WITH ANY UNAUTHORIZED USE OF THE USERNAMES OR PASSWORDS OR ANY UNAUTHORIZED USE OF OR WITHIN THE WEB SITE. If you become aware of a breach of security with respect to your password or of any other breach of security, you will immediately notify PwC. Your access to or use of the Web Site may be immediately suspended with or without notice by PwC at any time for any reason.
1.4 Restrictions.
Except as otherwise expressly permitted under this Agreement, you may not do any of the following, nor may you authorize any third party to do any of the following with respect to the Web Site, including without limitation any of its related technology and databases:
(a) Access or use any portion except for the purposes expressly stated in this
Agreement;
(b) Reproduce or copy any portion;
(c) Modify or create any derivative works;
(d) Decompile, disassemble, reverse engineer, or otherwise attempt to derive
the related source code;
(e) Redistribute, encumber, sell, rent, lease, use for service bureau purposes,
sublicense or otherwise transfer any related rights; or
(f) Remove or alter any related trademark, logo, copyright or other proprietary
notices, legends, symbols or labels.
1.5 Linking.
You may not link to the Web Site from any website without PwC’s prior written consent. If and where the Web Site provides links to any third party website, such website may not be under PwC’s control and accordingly PwC will have no responsibility for, and does not make any representations or warranties with respect to, such website or any content, products or services in connection therewith, and PwC does not endorse any of the same.
1.6 Compliance with Laws.
You will comply with all applicable domestic and foreign laws, rules and regulations in connection with your use of the Web Site provided hereunder.
1.7 Changes to Web Site.
PwC may amend this Agreement at any time and reserves the right to change without notice, at its sole discretion, the content, presentation, performance, functionality and availability of the Web Site. Where PwC amends this Agreement, then upon posting on the Web Site, the new terms including price are automatically effective and binding on you. If you do not wish to accept such amendment, you should immediately cease to use the Web Site. This Agreement may not be otherwise amended. No waiver by PwC of any term or condition of this Agreement will be effective unless made in writing.
1.8 Ownership.
All right, title and interest in and to the Web Site, including without limitation all information and related technology, shall remain with PwC and/or its licensors (except with respect to content placed on the Web Site by you and certain other third parties), and you shall have no rights in the Web Site or any of PwC’s other intellectual property. You acknowledge such ownership and intellectual property rights and will not take any action to jeopardize, limit or interfere in any manner with PwC’s or its licensors’ ownership of or rights with respect to the same.
2. Indemnification
To the maximum extent permitted by applicable law, you agree to defend (at the indemnified party’s option), indemnify and hold PwC and its respective officers, directors, partners, principals, employees, licensors, agents, Affiliates, suppliers and insurers harmless from and against any and all losses, damages, liabilities, costs (including reasonable attorneys’ fees) and expenses in connection with any claim arising out of or in connection with any content or information posted or transmitted by you using the Web Site or that otherwise arise out of your use of the Web Site or that of any other third party who is given or gains access to the Web Site due to your action or inaction. At any time, PwC has the right to forgo the indemnification and assume the defence of any claim. Notwithstanding the foregoing, it is not the intent of the parties to affect the rights of PwC’s insurers to assume the defence or settlement of any claim against PwC for
which insurance coverage is sought under any PwC policy.
3. Disclaimers and Assumptions of Risk
3.1 General Disclaimer.
THE WEB SITE AND CONFIDENTIAL INFORMATION PROVIDED TO YOU HEREUNDER ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PWC AND ITS OFFICERS, DIRECTORS, PARTNERS, PRINCIPALS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES WITH RESPECT TO THE SAME, EXPRESS, IMPLIED AND STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, NON-INTERFERENCE, ERROR-FREE SERVICE AND UNINTERRUPTED SERVICE. THIS AGREEMENT IS NOT AN OFFER OF ANY FINANCIAL OR OTHER GOODS OR SERVICES EXCEPT FOR THOSE EXPLICITLY LICENSED HEREUNDER. PWC TAKES NO RESPONSIBILITY FOR MONITORING OR REGULATING THE RELATIONSHIP BY AND AMONG YOU AND ANY OTHER PERSONS WHO USE THE WEB SITE PROVIDED HEREUNDER.
3.2 Downtime, Data Loss and Security.
You understand and agree that no representation or warranty is made with respect to the functionality or availability of the Web Site, and that all or any portion(s) of the Web Site may for a variety of reasons be unavailable to you for use either temporarily or permanently without notice. You further agree and understand that information and data related to the Web Site may be irretrievably lost or destroyed at any time, and it will be your responsibility to make all necessary copies and backups of any appropriate information and data posted to or obtained or available from the Web Site. You agree that PwC, its respective officers, directors, partners, principals, employees, licensors, agents, Affiliates and suppliers will not have any liability due to your inability to access the Web Site, any portion thereof or any related data or information, and will not have any liability in connection with the loss or destruction of any such data or information. You understand and acknowledge
that no web site or network is immune from unauthorized access. Accordingly, PwC will not have any liability or responsibility in connection with any unauthorized access to the Web Site. You understand and agree that the Web Site may be unavailable due to scheduled maintenance. PwC reserves the right to prevent or limit access to the Web Site for security, upgrades or other reasonable purposes.
4. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PWC NOR ITS OFFICERS, DIRECTORS, PARTNERS, PRINCIPALS, EMPLOYEES,AFFILIATES, AGENTS, LICENSORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS OR REVENUES, GOODWILL, WORK STOPPAGE, SECURITY BREACHES, VIRUSES, COMPUTER FAILURE OR MALFUNCTION, USE, DATA OR OTHER INTANGIBLE LOSSES OR COMMERCIAL DAMAGES, EVEN IF ANY OF SUCH PARTIES ARE ADVISED OF THE POSSIBILITY OF SUCH LOSSES, ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT, THE WEB SITE, THE USE OF OR INABILITY TO USE THE SAME, OR ANY OTHER SUBJECT MATTER HEREOF. IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PWC NOR ITS OFFICERS, DIRECTORS, PARTNERS, PRINCIPALS, EMPLOYEES, AFFILIATES, AGENTS, LICENSORS OR SUPPLIERS WILL BE LIABLE FOR ANY LOSS OR DAMAGE SUFFERED BY YOU WHICH ARISES OUT OF OR IN CONNECTION
WITH ANY INFORMATION OBTAINED BY YOU VIA OR IN CONNECTION WITH THE WEB SITE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF PWC, ITS OFFICERS, DIRECTORS, PARTNERS, PRINCIPALS, EMPLOYEES, AFFILIATES, LICENSORS, AGENTS AND SUPPLIERS UNDER THIS AGREEMENT OR IN CONNECTION WITH ITS SUBJECT MATTER EXCEED FIVE THOUSAND U.S. DOLLARS ($5,000).
5. Term and Termination
PwC may, without terminating this Agreement, suspend the provision of the Web Site in whole or in part until further notice without warning for any reason. All terms and condition of this Agreement that are intended by their nature to survive termination of this Agreement shall survive termination and remain in full force, including but not limited to the terms and conditions concerning any disclaimers, intellectual property rights, duties of confidentiality, limitations of liability, duties of indemnification, and provisions regarding resolution of differences.
Although each party's further rights and obligations cease immediately on termination of this Agreement, termination does not affect a party's accrued rights and obligations at the date of termination.
6. General
6.1 Governing Law, Jurisdiction and Venue.
This Agreement will be governed by and construed in accordance with applicable laws of the Hong Kong Special Administrative Region of the People’s Republic of China. Each party irrevocably consents to the exclusive jurisdiction and venue of the Hong Kong courts in connection with any dispute or claim arising under this Agreement. Each party waives any right that it may have to assert that such forum is not convenient. Each party agrees not to demand a trial by jury in any action, proceeding or counterclaim arising out of or relating to this Agreement.
6.2 Conflict; Severability.
In the event of any conflict between this Agreement and any procedures or requirements set out in the Web Site, the provisions of this Agreement will prevail. If any provision of this Agreement is held to be invalid, void or illegal, it will be severed from this Agreement and will not affect, impair or invalidate any other provision, and it will be replaced by a provision which comes closest to such severed provision in language and intent without being invalid, void or illegal.
6.3 Assignment.
You may not assign, transfer, change or otherwise seek to deal with any rights or obligations under this Agreement without the prior written consent of PwC. PwC may without consent assign this Agreement.
6.4 No Implied Waiver.
No right under this Agreement or breach hereof may be waived except in writing signed by the parties hereto. The failure of either party to require performance of any provision of this Agreement will not be construed as a waiver of such party’s rights to insist on performance of such provision or any other provision at some other time.

3. DefinitionsIn this Statement, we use the following terms:
“this Site/Application” refers to ePay and is designed to provide a secure platform for PwC’s clients, to view, export & print their own payslip records & payroll summary.
“Personal data” or “personal identifiable information” or “personal information” refers to any information or data (in a form in which access to or processing is practicable) relating directly or indirectly to a living or natural individual from which independently or in combination with other information it is practicable for the identity of the individual to be directly or indirectly ascertained or for the activity of the natural person to be directly or indirectly ascertained.
“Processing” means any operation or set of operations which is performed on personal data or on sets of personal data, whether or not by automated means, such as collection, recording, organisation, transferring, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.

5. (Applicable only to personal information collected from European Economic Area) Our legal grounds for processing personal dataApplicable laws may require us to set out in this Statement the legal grounds on which we rely in order to process your personal information. In such cases, we rely on one or more of the following processing conditions:
- our legitimate interests in the effective delivery of information and services to you and in the effective and lawful operation of our businesses and the legitimate interests of our clients in receiving professional services from us as part of running their organization (provided these do not interfere with your rights);
- our legitimate interests in developing and improving our businesses, services and offerings and in developing new PwC technologies and offerings (provided these do not interfere with your rights);
- to satisfy any requirement of law, regulation or professional body of which we are a member (for example, for some of our services, we have a legal obligation to provide the service in a certain way); or
- to perform our obligations under a contractual arrangement with you.
6. Transfers of personal dataPwC is a global network with member firms and third party service providers located around the world. Your personal information may be transmitted and stored outside the country or region where you are located. PwC member firms, our service providers and sub-processors they engage may use servers and other resources in various countries and territories to process your information. This includes countries outside the European Economic Area (EEA) and countries that do not have laws that provide specific protection for personal information.
For personal information collected from Mainland China:Since we provide products or services through resources and servers all over the world, this means that after obtaining your authorized consent, your personal information may be transferred outside of the country where you use the Application.
Such jurisdictions may have different data protection laws. In such cases, in addition to complying with local applicable laws, we will enter into contract or other legally effective documents with the recipients of personal data, to ensure that your personal information is adequately protected. For example, we will ask for your consent to transfer personal information across borders, or implement appropriate security measures before cross-border data transfer. Your personal data as set out in section 4 above may be transferred to, processed by and stored with the following classes of transferees/categories of recipients for the purposes as described in this Statement:
(a) Recipients of personal data: other PwC member firmsWe may share personal data with other PwC member firms where necessary in connection with the purposes described in this Statement. For example, when providing services to a client we may share personal information with PwC member firms in different territories that are involved in providing services to that client.
(b) Recipients of personal data: third party providersWe may transfer or disclose the personal data we collect to third party contractors, subcontractors, and/or their subsidiaries and affiliates. Third parties support the PwC network in providing its services and help provide, run and manage IT systems. Examples of third party contractors we use include providers of identity management, website hosting and management, data analysis, data backup, security and cloud storage services. The servers powering and facilitating our IT infrastructure may be located in secure data centres around the world, and personal data may be stored in any one of them.
It is our policy to use only third party providers that are bound to maintain appropriate levels of security and confidentiality and process personal information only as instructed by PwC pursuant to the contract between PwC and such third party providers. Subject to the foregoing, third party providers may also use their respective subsidiaries and affiliates, and their own third party subcontractors that have access to personal data (sub-processors) to meet purposes of disclosure and/or transfer.
(c) Other recipients of personal data
We may also disclose personal information under the following circumstances to the extent permitted under applicable laws:
- with professional advisers, for example, auditors and law firms, as necessary to establish, exercise or defend our legal rights and obtain advice in connection with the running of our businesses. Personal data may be shared with these advisers as necessary in connection with the services they have been engaged to provide;
- when explicitly requested by you;
- when required to deliver publications or reference materials requested by you;
- when PwC is involved in a merger, acquisition, or sale of all or a portion of its assets (provided the recipient agrees to be bound by the terms of this Statement);
- with law enforcement or other government and regulatory agencies or with other third parties as required by, and in accordance with, applicable law and regulation; and/or
- occasionally, we may receive requests from third parties with authority to obtain disclosure of personal data, such as to check that we are complying with applicable laws and regulations, to investigate an alleged crime or to establish, exercise or defend legal rights. We will only fulfil requests for personal data where we are permitted to do so in accordance with applicable laws and regulations. This includes disclosures outside the country or region where you are located.
For personal information collected from European Economic Area only:Where we collect your personal information within the European Economic Area, transfer outside the European Economic Area will be only:
- to a recipient located in a country or region which provides an adequate level of protection for your personal information; and/or
- under an agreement which satisfies EU requirements for the transfer of personal data to data processors or data controllers outside the EEA, such as standard contractual clauses approved by the European Commission.
7. Security of personal dataWe adhere to internationally recognised standards of technology and operational security in order to protect personal information from loss, misuse, alteration and destruction. Only authorised persons are provided access to personal information collected via this Site/Application. These individuals have agreed to maintain the confidentiality of this information. We have a framework of policies and procedures in place covering data protection, confidentiality and security and regularly review the appropriateness of the measures we have in place to keep the data we hold secure.
Although we use appropriate security measures once we have received your personal data, the transmission of data over the internet (including by email) is never completely secure. We endeavor to protect personal data, but we cannot guarantee the security of data transmitted electronically over the Internet.
Where a personal information security incident arises, we shall respond to the incident, assess the likely impact of the incident, and take necessary actions to bring the incident under control. Where necessary, we will report to the appropriate authority and notify you of the incident as may be required under applicable laws and regulations.
8. CookiesCookies may be placed on your computer or device whenever you visit the Site/Application. Cookies are small text placed on our device that assist us in providing a more customised experience and to analyse your use of this Site/Application.
If you are concerned about cookies, most browsers permit individuals to decline cookies. In most cases, you can refuse a cookie, however some functionality may be impaired.
You can always delete cookies if you wish via your browser’s setting.
9. Retention of personal dataIt is our policy not to retain personal data longer than is necessary for the fulfilment of the purposes for which the data are to be used. We will retain personal information on our systems for as long as we need it, given the purposes for which it was collected, or as required to do so by laws. Personal data may be held for longer periods where extended retention are agreed or are required by laws or regulations or professional standards and in order to establish, exercise or defend our legal rights.
10. Children We are committed to protecting children’s privacy. This Site/Application is not intentionally designed for or directed at children, and we do not knowingly collect or store personal information about children.
